1. Agreement to Terms

By accessing and using the N'Vidia Studios website and services, including N'Vidia Maxima commission services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on N'Vidia Studios and N'Vidia Maxima for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modifying or copying the materials
• Using the materials for any commercial purpose or for any public display
• Attempting to decompile or reverse engineer any software contained on N'Vidia Studios or N'Vidia Maxima
• Removing any copyright or other proprietary notations from the materials
• Transferring the materials to another person or "mirroring" the materials on any other server

3. Commission Services

N'Vidia Studios, operating through its N'Vidia Maxima division, provides AI-generated music commission services. By commissioning a track through N'Vidia Maxima, you agree to:

• Provide accurate information about your commission requirements
• Pay the agreed-upon price for the selected package
• Accept the delivered work within the specified timeframe
• Understand that revisions are limited based on your selected package
• Comply with all terms set forth by N'Vidia Studios and N'Vidia Maxima

4. Intellectual Property Rights

The intellectual property rights for commissioned tracks created through N'Vidia Maxima vary by package:

• Concept & N'Vidia Lite: Personal use license only. Commercial rights not included.
• Production & Maxima Elite: Full commercial use rights and ownership of the track.

All N'Vidia Studios and N'Vidia Maxima branding, logos, and website content remain the exclusive property of N'Vidia Studios. Users agree not to use N'Vidia Studios or N'Vidia Maxima trademarks without explicit written permission.

5. Payment Terms & Refund Policy

All payments for N'Vidia Maxima commissions are processed through Stripe. By submitting payment information, you authorize N'Vidia Studios and N'Vidia Maxima to charge your payment method for the commission price.

6. Cancellation & Time-Based Billing

Clients who wish to cancel their order after 3 days from the purchase date acknowledge that N'Vidia Studios and N'Vidia Maxima will have invested time in the project. In such cases, the client agrees to pay for all time spent on the project at a rate of $100 per hour. The final billing amount will be calculated based on actual hours worked and communicated to the client before payment is due.

7. Delivery Timeline

Delivery timelines for N'Vidia Maxima commissions are estimates and not guarantees. N'Vidia Studios and N'Vidia Maxima will make reasonable efforts to deliver commissions within the stated timeframe. Additional time may be required for complex requests or during high-volume periods.

8. Limitation of Liability

The materials on N'Vidia Studios and N'Vidia Maxima are provided on an 'as is' basis. N'Vidia Studios and N'Vidia Maxima make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

9. Modifications to Terms

N'Vidia Studios and N'Vidia Maxima may revise these terms of service at any time without notice. By using this website and services, you are agreeing to be bound by the then current version of these terms of service.

10. Governing Law

These Terms of Service and all related agreements are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Illinois for the resolution of any disputes.

11. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies posted on the N'Vidia Studios and N'Vidia Maxima websites, constitute the entire agreement between you and N'Vidia Studios and N'Vidia Maxima regarding your use of our services. If there is any conflict between these Terms of Service and any other agreement, these Terms of Service shall prevail.
